Partner Terms for Developers, Brokers and Professional Providers

1. Scope
These Partner Terms apply to the business use of AcrossEstate by professional developers, brokers, sellers, distribution organisations, agencies and other professional providers.
AcrossEstate is a platform operated by Black Coast Capital LLC, Georgia, Tbilisi, Nadzaladevi District, Erosi Manjgaladze Street N 75a, Identification Number 400459240.

2. Relationship with individual agreements
Individual written agreements, including developer, distribution, brokerage, exclusivity, commission or cooperation agreements, prevail over these general Partner Terms to the extent that they regulate the same subject differently.
3. Registration and admission
Professional providers may register or apply for admission where AcrossEstate provides that function. Registration does not create a right to activation, publication of a profile or project, allocation of leads or a particular level of visibility.
AcrossEstate may reject, defer or condition admission on evidence and verification.
4. Authority and business identity
A person creating an account or submitting content for a business confirms that they are authorised to do so. Partners must provide complete and accurate business, contact and authority information.
AcrossEstate may request identity, register, authority, licence, project or distribution evidence where necessary for verification.
5. Partner verification
AcrossEstate may verify information using submitted documents, public registers, official websites, references, project materials and other appropriate sources.
A verified or checked label refers only to the specifically described scope of review and is not a general guarantee of solvency, performance, project quality or legal compliance.
6. Approval and publication
Partner profiles, projects and other content may be reviewed before publication. AcrossEstate may request additional information, structure content, make factual editorial adjustments, defer publication, reject publication or add source and verification notices.
A partner has no right to immediate or unreviewed publication.
7. Responsibility for partner content
The partner is responsible for information it provides and confirms that, to its knowledge, the information is accurate, not misleading and sufficiently current.
This applies in particular to project name, developer, seller, location, price, availability, areas, unit types, completion, construction progress, permits, amenities, payment plans, rental and management offers, return statements and all images, videos, floor plans and documents.
8. Duty to update
The partner must update material information as soon as it knows or should know that published information has become inaccurate, outdated or misleading.
Price, availability, payment plan and project status must be reviewed at reasonable intervals. AcrossEstate may display freshness indicators, request renewed confirmation or restrict content pending confirmation.
9. Prices and availability
Price information must be clear, objectively supportable and not misleading. Unavailable bait prices, artificial entry prices or deliberately incomplete price statements are prohibited.
A unit or category may be shown as available only where there is a reasonable factual basis. Partners should handle requests for current availability promptly and appropriately where possible.
10. Project status, completion and permits
Statements on construction progress, completion, handover, permits or project status must reflect the documented information available. Planned and target dates may not be presented as guaranteed dates unless a legally enforceable guarantee exists.
11. Return, rental and income statements
Statements concerning returns, rents, occupancy, value appreciation or income must have an objective basis and disclose material assumptions and limitations.
A statement may be described as guaranteed only where there is a legally enforceable guarantee with an identifiable guarantor, scope, duration and conditions. AcrossEstate may request evidence, qualify statements or refuse publication.
12. Rights in media and documents
The partner confirms that it is entitled to provide submitted texts, logos, trademarks, photographs, videos, renderings, floor plans, brochures, price lists and other materials for the agreed platform use.
The partner must ensure that the agreed use does not infringe third party rights.
13. Licence to AcrossEstate
For the duration of the cooperation, the partner grants Black Coast Capital LLC a non-exclusive and, where necessary for operation, sublicensable right to store, technically adapt, format, translate, reproduce, make publicly available and use submitted content in AcrossEstate-owned channels for the presentation and promotion of the relevant project or partner.
Editorial treatment must not knowingly distort the factual substance of information. Additional rights may be agreed separately.
14. Translation and editorial preparation
AcrossEstate may structure partner content and translate it into other languages. The partner must report material factual errors known to it. For legally or contractually sensitive information, AcrossEstate may require express confirmation or approval.
15. Prohibited content
Prohibited content includes illegal, fraudulent, knowingly misleading or rights-infringing content, fabricated prices or availability, unlawful guarantees, discriminatory or otherwise unlawful offers, malware and content designed to deceive consumers, users or the platform.
16. Moderation
AcrossEstate may, for objective reasons, correct, supplement, defer, restrict the visibility of, disable or remove partner content.
Where applicable law requires it, the affected partner will receive reasons in a durable form and an opportunity to clarify relevant facts. Mandatory requirements from public authorities, courts, security measures and law enforcement remain reserved.
17. Notices concerning potentially illegal content
Notices may be submitted electronically to legal@acrossestate.com. Partners must cooperate with an objectively justified review and provide information or evidence that is reasonably required.
18. Leads and inquiries
AcrossEstate may collect, structure, qualify and route real estate inquiries to the responsible partner. A lead is not a guarantee of purchase intent, solvency, transaction, commission or economic quality.
A partner may use lead data only for lawful purposes connected with the specific inquiry and in accordance with applicable data protection, consumer and marketing law.
19. Responsibility of Black Coast Capital LLC
Black Coast Capital LLC may be responsible for certain projects, countries, regions, customer groups or distribution channels under its own developer, distribution or exclusivity agreements. AcrossEstate may route inquiries according to those responsibilities.
Other partners have no right to access leads assigned to such a responsibility unless separately agreed.
20. Data protection for leads
Where a partner processes personal data for its own purposes and independently determines the essential means, it may be an independent controller for that processing.
The partner must ensure lawful processing, transparency, purpose limitation, data security, data subject rights, erasure, lawful international transfers and separate legal requirements for direct marketing.
The transfer of a lead is not a general consent for newsletters, retargeting or other promotional communications.
21. Communication with prospects
Partners must contact prospects professionally, factually and transparently. Project-related communications must be distinguished from general marketing. Objections or withdrawal of consent relating to promotional communications must be respected in accordance with applicable law.
22. Ranking and visibility
Main parameters that may affect ranking and visibility include relevance to the user's request, data quality, completeness, freshness, availability, location, price, project status, filter match, editorial relevance and contractually agreed promotion.
The relative importance may vary by search context. AcrossEstate is not required to disclose technical algorithms or information whose disclosure would facilitate manipulation, misuse or circumvention of security measures.
23. Paid promotion
Where a partner receives additional visibility against payment or under a commercial agreement, this may affect ranking or presentation. Such commercial promotion is identified to consumers, where required, as sponsored, advertising or in a similarly understandable manner.
24. Differentiated treatment and BCC's dual role
Black Coast Capital LLC operates AcrossEstate and may at the same time be a professional distribution or advisory partner for individual projects. As a result, Black Coast Capital LLC may, on the basis of its own contracts, exclusivities, data access or responsibilities, have information or rights that are not available to other partners.
AcrossEstate must not present BCC projects as independently recommended where a commercial promotion or its own distribution responsibility is material to the presentation. Sponsored or contractually promoted placements are labelled accordingly.
25. Data access
Partners receive access only to the data and functions appropriate to their role and granted permissions. Without a specific agreement, a partner receives no access to leads, confidential project data or user data belonging to other partners.
After termination of a partner account, direct platform access to non-public data may end. Statutory retention duties, evidence, billing data, audit data and content whose continued retention is legally or contractually permitted may remain stored.
26. Additional distribution channels
Within the granted licence, AcrossEstate may also distribute published project information through its own websites, apps, search engine optimisation, email communications, social media channels or other AcrossEstate-owned communication channels. Affiliate or external distribution channels are used only where there is a legal and contractual basis.
27. Fees, commissions and other remuneration
Fees, subscriptions, lead charges, commissions or other remuneration apply only where separately agreed or clearly presented when the relevant contract is concluded. These Partner Terms alone do not create an unagreed payment obligation or commission entitlement.
28. Confidentiality
Non-public project, customer, contract, price and business information must be treated confidentially where its confidential nature follows from its nature, marking or circumstances. Statutory disclosure and information duties remain unaffected.
29. Account security
Partners must protect credentials and restrict access to authorised persons. Suspected unauthorised access, compromised credentials or misuse must be reported to AcrossEstate without undue delay.
30. Restriction, suspension and termination
AcrossEstate may restrict or suspend partner accounts or individual listings for objective reasons, including inaccurate business information, falsified evidence, material data unreliability, suspected fraud, security risks, illegal content, data protection violations or repeated breaches of these Partner Terms.
Where Regulation (EU) 2019/1150 applies to the relevant partner relationship, AcrossEstate will provide the legally required statement of reasons on a durable medium when restricting or suspending services. For full termination, the applicable advance notice and statement of reasons requirements are observed, including the generally required 30-day period where no statutory exception applies.
31. Complaints by professional partners
Partners may submit complaints free of charge to legal@acrossestate.com. AcrossEstate reviews complaints concerning, in particular, technical issues, moderation measures, restrictions, data access, ranking or possible non-compliance with these Partner Terms.
Where a statutory internal complaint-handling system is required, the process will be operated in accordance with the applicable requirements. Where a statutory small-enterprise exemption applies, AcrossEstate may nevertheless provide this complaint channel voluntarily.
31a. Mediation where the P2B Regulation applies
Where Article 12 of Regulation (EU) 2019/1150 applies to the specific partner relationship and no statutory exemption, including the exemption for small enterprises, applies, AcrossEstate will identify in the version applicable to that partner relationship two or more suitable mediators with whom an out of court resolution may be attempted. This information will be added before the corresponding statutory obligation becomes applicable.
32. Changes to the Partner Terms
AcrossEstate may amend these Partner Terms for legal, technical or business reasons.
Where Regulation (EU) 2019/1150 applies to a partner relationship, amendments will generally be notified on a durable medium at least 15 days before taking effect. A longer period will be provided where the partner reasonably needs technical or commercial adaptation. Statutory exceptions, including mandatory legal requirements or urgent security reasons, remain reserved.
33. Partner liability
The partner is liable under applicable law and individual agreements for inaccurate information, infringements, missing usage rights, unlawful data processing and other breaches for which the partner is responsible.
To the extent legally permitted, the partner shall indemnify Black Coast Capital LLC against justified third party claims directly resulting from an infringement attributable to the partner.
34. Liability of Black Coast Capital LLC
The liability of Black Coast Capital LLC is governed by applicable law and any individual agreement. Liability that cannot mandatorily be limited remains unaffected.
AcrossEstate does not guarantee any particular number of leads, views, rankings, reservations, sales, commissions or economic results.
35. Applicable law and jurisdiction
Professional partner relationships are generally governed by Georgian law unless an individual written agreement provides otherwise and mandatory law does not require a different result.
Where a jurisdiction clause between businesses is legally valid and there is no individual agreement, the competent courts in Tbilisi, Georgia are intended to have jurisdiction. Mandatory jurisdiction rules remain unaffected.
36. Language versions and severability
AcrossEstate maintains German, English and Georgian versions. The English version may be displayed for other interface languages.
If any provision is invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by law. Applicable statutory rules apply in place of the invalid provision.
